How do I apply for a Seychelles ISIN?

Overview and application procedures for applying for a Seychelles International Securities Identification Number (ISIN)

MERJ EXCHANGE LIMITED (“MERJ EXCHANGE”), acting in its capacity as the Seychelles National Numbering Agency (“NNA”) and partner of the Association of National Numbering Agencies (“ANNA”), is the sole issuer of Seychelles (SC) International Securities Identification Numbers (“ISINs”) pursuant to ISO 6166.

An application must be made by or on behalf of (e.g. by an appointed lawyer of the issuer) the Issuer of the security requiring the ISIN allocation (the “Issuer”). An Issuer will be either a Seychelles public sector entity or a private sector issuer and must be registered or incorporated in Seychelles.

Private Sector Issuers

Step 1: an authorised person appointed by the issuer should complete and submit this form:

Step 2: send an email to isin(at)merj.exchange replacing (at) with @ noting the name of the issuer applying and including the following documents depending on the type of issuer

Companies
  • Board resolution authorizing the issuance
  • Certificate of Incorporation/Good Standing (if older than 12 months)
  • Memorandum and Articles of Association
  • Proof of Authority (Certificate of Incumbency or Power of Attorney) of the requesting person
Limited Partnerships
  • Partnership Agreement
  • Certificate of Registration of Partnership.
  • Board resolution (i.e. by the General Partner) authorizing the issuance
  • Certificate of Incorporation/Good Standing (if older than 12 months) of the General Partner
  • Proof of Authority (Certificate of Incumbency or Power of Attorney) of the requesting person
Mutual Funds – the following documents are required of the fund entity
  • The documents required for companies or limited partnerships above as applicable depending on the entity type of the fund.
  • Proof of licensed status (fund license or confirmation on FSA website)
  • Proof of Authority (Certificate of Incumbency or Power of Attorney) of the requesting person

Listing or Offering Documents

  • Listing on and Exchange - include the Listing Particulars/Prospectus and listing approval from the relevant Exchange
  • Public Offering - include the approval from the relevant regulatory authority
  • Private Placement - include the Private Placement Memorandum which should note the exemptions provided in law that are being relied upon, confirmation of private placement status from the relevant regulatory authority or a legal opinion.

Intermediary Letter of Undertaking - The applicant must provide a Professional Intermediary Letter of Undertaking from at least one Seychelles regulated intermediary who is assisting with the issue (listing sponsor, securities dealer, corporate services provider, fund administrator, lawyer, accountant, etc.).

The ISIN Fee for private sector issuers is USD 600 per ISIN being applied for.  MERJ will issue an invoice on receipt of the application.    

It typically takes 24 hours to process an ISIN Application once payment is in order and all the relevant documentation have been submitted.

 

Public Sector Issuers

The ISIN fee for public sector issuers is USD400 per ISIN or a bulk rate for multiple issuances as agreed.

It typically takes 24 hours to process an ISIN Application once payment is in order and all the relevant documentation have been submitted.
